OD Coverage is a technology platform only.

OD Coverage provides an online platform that allows optometrists, clinics, and practices to post, discover, and connect regarding fill-in shift opportunities and related arrangements.

OD Coverage does not provide staffing services, recruiting services, placement services, employment services, credentialing services, payroll services, contracting services, or legal services.

1. No Employment or Agency Relationship

OD Coverage does not employ, supervise, direct, control, or manage any optometrist, clinic, or practice using the platform.

No employment, agency, partnership, joint venture, contractor, brokerage, or fiduciary relationship is created between OD Coverage and any user of the Service.

Any relationship formed through or after use of the platform exists solely between the users involved.

2. No Verification of Users

Unless OD Coverage explicitly states otherwise in writing, OD Coverage does not independently verify the identity, licensure, credentials, malpractice insurance, background, employment eligibility, or fitness of any user.

You are solely responsible for conducting any due diligence, credentialing, screening, contracting, onboarding, and verification you deem appropriate before engaging with another user.

3. No Guarantee of Outcomes

OD Coverage does not guarantee that any listing will receive views, responses, or applicants, or that any shift will be filled, accepted, completed, or compensated.

OD Coverage also does not guarantee the quality, reliability, performance, or conduct of any user.

Any agreements, compensation terms, responsibilities, or outcomes are solely between the users involved.

4. Paid Features and Promotional Tools

OD Coverage may offer paid features, including but not limited to boosted listings, promotional placement, enhanced visibility tools, listing upgrades, or other paid functionality.

These features are provided solely as platform tools and do not guarantee visibility levels, responses, matches, or filled shifts.

Referral credits, promotional credits, or similar incentives, if offered, are not cash, are not transferable unless explicitly permitted, and may be modified or discontinued at any time.

5. User Responsibility for Arrangements

Users are solely responsible for determining the terms of any arrangement, including compensation, scheduling, duties, supervision, cancellation terms, and expectations.

Users are also solely responsible for:

• Credentialing and licensure verification
• Malpractice insurance coverage
• Worker classification (employee vs contractor)
• Tax reporting and compliance
• Payroll, benefits, and wage compliance
• Contracts and agreements between parties
• Compliance with all applicable laws and regulations

6. Medical and Clinical Responsibility Disclaimer

OD Coverage does not provide medical care or clinical services.

OD Coverage is not responsible for patient care, diagnosis, treatment, prescribing, supervision, charting, follow-up care, billing, coding, or clinical decision-making of any kind.

All clinical decisions and patient care responsibilities remain solely with the licensed professionals and organizations actually providing care.

Users are solely responsible for complying with all applicable laws, regulations, licensure requirements, scope-of-practice rules, documentation standards, payer requirements, and professional obligations.

7. No Patient Data / PHI

OD Coverage is not intended for the storage or transmission of patient medical records, protected health information (PHI), or other sensitive clinical data.

Users must not post or transmit patient-identifying information through the platform.

8. Limitation of Responsibility

OD Coverage is not responsible for any disputes, losses, damages, claims, or liabilities arising from interactions between users, including but not limited to:

• No-shows or cancellations
• Payment disputes
• Clinical outcomes or malpractice claims
• Licensing or credentialing issues
• Worker classification disputes
• Contract disputes between users
